Terms of Service

These Terms of Service ("Terms") govern access to and use of the AgentAngel.io™ ("AgentAngel," "we," "us," "our") AI-assisted call-answering and missed-call text-back platform (the "Service") by the local service businesses that subscribe to it ("Customer," "you") and by the callers who interact with the Service. By signing up for, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Not legal, insurance, or professional advice. The Service provides operations and communications automation only. It does not provide legal, insurance, medical, financial, or other professional advice, and nothing in the Service should be relied on as such.

1. The Service

AgentAngel provides an AI voice and text platform that answers calls, captures caller information, sends missed-call text-back messages, and helps schedule or route inquiries on behalf of the Customer's business. Service features, availability, and specialist configurations may change over time as we improve the platform.

2. Eligibility and accounts

You must be at least 18 years old and authorized to bind the business you represent to use the Service. You are responsible for the accuracy of the account, phone number, and business information you provide, and for keeping your account credentials secure. You are responsible for all activity that occurs under your account.

3. Fees and billing

Fees for the Service are as stated on your order, signup flow, or account dashboard at the time you subscribe. Fees are billed on the cycle disclosed at signup (e.g., monthly). Where a specific performance guarantee is advertised for a plan (for example, a booking-volume guarantee), the terms of that guarantee are as stated on the page where it is offered and control over this general section. We may change fees for future billing cycles with reasonable notice.

4. Acceptable use

You agree not to use the Service to: violate any law or regulation; send messages without the consent required by our SMS Terms of Service and SMS Opt-In page; harass, defraud, or deceive any person; transmit unlawful, infringing, or harmful content; or interfere with or attempt to disrupt the Service's infrastructure or security.

5. SMS and voice messaging

Text messages sent through the Service are governed by our SMS Terms of Service, including consent, message frequency, opt-out (reply STOP), and help (reply HELP). By using the Service to contact your callers, you agree to obtain and maintain any consent required for those communications and to honor opt-out requests.

6. Intellectual property

AgentAngel and its licensors own all right, title, and interest in the Service, including its software, platform, and the AgentAngel.io™ name and marks. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business during your subscription. You retain ownership of the business and caller data you submit to the Service ("Customer Data"); you grant us a license to use Customer Data solely to provide and improve the Service, subject to our Privacy Policy.

7. Disclaimer of warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every call or message will be captured or delivered successfully.

8. Limitation of liability

To the maximum extent permitted by law, AgentAngel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us for the Service in the three (3) months before the claim arose.

9. Termination

You may cancel your subscription at any time through your account or by contacting us. We may suspend or terminate access to the Service for a violation of these Terms, non-payment, or misuse that risks harm to callers, the business, or the Service. Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 8, and 11) will survive.

10. Changes to the Service and these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing law and disputes

These Terms are governed by applicable United States law, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will first be addressed through good-faith direct communication between the parties before any formal proceeding.
